    Post Any template docs for MCA sale and servicing from originator -> investor?

    Hi guys,

    I'm working out a deal between an MCA originator and an investor, and we need framework legal agreements for the sale and servicing of MCA assets originated by the first party and sold to the third party. Effectively, I'm looking for a "loan purchase agreement" and "loan servicing agreement," but the assets being transferred are accounts receivable from the originated MCA instead of a loan. This will be different than the agreement executed between the originator and the merchant.

    Could anyone send me deal documentation like this (obviously redacted for sensitive info) or point me towards a good resource for such documents? I just need the frameworks to tailor to my specific situation.

    Appreciate any help!

    I agree please get an Attorney to draft these docs. Otherwise anyone can send you somthnig that would leave you wide open for legal actions. Would be like wanting to build a mall and asking if someone has blue prints and i go and built off prints that are missing Beams to hold up the structure.

    Thanks, guys. I (probably, like many in this forum) just get frustrated at how much value is extracted from this industry by attorneys who literally and repeatedly recreate the wheel but charge as if it's the first time the task is undertaken, when the terms in the documents will be negotiated and tailored on a deal-by-deal basis, anyhow. Appreciate the responses, in any case.

    This is one of those deals where you've gotta do everything to protect yourself. The attorney fees are worth it to avoid catastrophe.

    I'm sure the investor will be thrilled to know that the documents were solicited on a message board. You are not paying the attorney to produce one document. You are paying for their expertise which may have cost hundreds of thousands of dollars and countless hours of work.
