dont you think getting a lawyer and having one drawn up for yourself where you know that you are protected would be a better option then trying to just use something someone else used

Hire a lawyer. There are potential implications with securities laws with syndication and you don't want to use some template that leaves you exposed.

Appreciate the feedback. That is a good idea and something we thankfully have that's why I just need the template so we can make the necessary edits to protect ourselves. I know that my last company did the same thing and had their template from CAN.

or any for that matter.. Do not trust somebody else agreement. Things could have changed legally since the one you are using was drafted. Do not count on somebody else for due diligence you should be doing yourself
