Private lender to telecoms VoIP international traffic wholesaler offers up to an aggregated $25 million Notes via 3 classes with differing interest rate and risk profiles, under a Reg D Rule 506(c) offering. Use of Note proceeds is to increase lender's existing revolving line of credit to enable the wholesaler to add new VoIP traffic routes and accommodate greater demand on existing routes. Revenue volume will scale directly in proportion to incremental proceeds from the Notes. The Note classes pay 6% interest, 12.5% interest and a gross profit share-based contingent interest, with differing risk/subordination profiles. 90pct of principal risk is secured by AIG insurance.
