They are looking to collaterlize their shares for short term funding.

They need to pay to revive the LLC and to pay some other costs so they may sell and distribute the shares.

Is the LLC or any of its members an affiliate of the company? If not, then:

1) how long have the shares been held by the shareholder,
2) how were they acquired ( service agreement or paid in cash) (do they have documentation of it)
3) how many shares are you talking about.
4) do they have a restrictive legend on them or are they currently free trading.
