    So since i didn't do it to you, and I can't really be entombed and i entered merchant cash advance to call people on the phone and fund deals without people stealing constantly a paper included

    Its best to deal with one state at a time ...Calif is being additionally regulated in regards to disclosures

    By end of month the Gov will either sign or veto and if changes have to be made, they need to be addressed

    Ive stated my opinion/facts on why Apr is wrong...maybe cost of capital...posted a number

    Well there is now a SmarterBox, so SmartBox must be irrelevant. I've instructed my colleagues to wait for the SmartestBox to come along so we can disclose true cost of capital 30 days into funding.

    Now, if, in the meantime there emerges a ScrumdiddlyumptiousBox, well then we will get in line. That Box will likely provide an apples to donuts comparison of rates, fees, and charges six months after default and collections begin.... Exciting times!

    Putting Apr on MCA contracts and factoring not loans sets you up for automatic defaults and lawsuits.

    I've said this over and over again. You don't want to stop and like a chess game, move the pieces forwards in your mind, then that's that.


    If you get to court you can't argue an invalid contract. Merchant Cash advance companies have been going to court to defend the position that "it is not a loan it is an advance" therfore it is not usury. Also Defending the COJs.

    Merchant cash advance has no set payback time ...therefore blah blah

    You now are going to invalidate those arguments and its usury OR they stand and its and invalid contract therefore void

    Someone is going to argue breach of contract and someone smart is going to turn right around and argue that the contracts were illegal or confusing therefore not enforceable.

    Courts have time and time again said: " if the contract resembles a loan then it is one".


    ( and I know these things because of Venture Capital. Structuring different types of Deals that are NOT loans since the 80s)


    We can see going forward who is right and who is wrong ( I do not like going into something from a 90%-100% failure position)

    As an Ex Compiance officer from Wall St ( with over 25 years of experience and never one regulatory issue not even for $1) I am telling you that if any of you say APR on the phone and its tape recorded and they say its a loan and you were selling a loan. You can be charged with a crime in certain states.

    Selling loans without a license and Loan Fraud

    This needs to stop now

    Cease and Desist the Apr on non-loan contracts

    Beware there is a hurricane coming to Florida and greenbox is within the 50 mile radius. Do not send any business in till the storm passes and we know they are ok.

    Im waiting for a smarter box for the 100+ Million of Americans home / apartment renters that are paying $1,500 rent over 20 years its 361,500.00 (compound interest 5% annually 628,926.48) ... According to a 2017 GOBankingRates survey, more than half of Americans (57 percent) have less than $1,000 in their savings accounts. (yet landlord are taking an average weekly debit from tenants of $375 on a 1500 monthly rent calc.).....

    So in 2 weeks time they are taking half the value they will save up over 20 years!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!

    Um...no If you don't like the rent you are paying find another option. Renting is what it is....you don't own anything. Much like leasing or renting a car......you don't own it. If you don't like the payment....find an alternative.

    As a building owner do you expect me to give away space for cheap renters if the market dictates otherwise....
