    Not without board approval, then you get into the issue of stockholders, bylaws and who actually has authority to acquire any type of financing. either mca or traditional loan -

    I'm working with the CEO who has signing authority to take on debt. I'm hoping that will be sufficient.

    Yes, you need POA (Power of attorney) or an equivalent. Our company would require a COJ as well.

    Yes but he is going to be very rate sensitive. 1.27 or Under.

    what authority does he have to take on debt for the company? what stip do you have that states this? out of curiosity

    if youre a CEO of a public or non profit, you're insane to personally sign a COJ.
