This is rather simple. Finding the lender for it is not:

• Video game developer who created & delivered the online game for the Star Wars franchise to Disney needs money for a new project along the line of Pokemon Go.
• Needs $5MM now to develop video game the level of Star Wars, Pokemon Go, etc... (can manage with $3.5MM)
• Loan would be payable in 18 months, but stock option is also there, paying the lender a lot more for the funds lent.

This works pretty simply: All Disney needs is a letter stating that the funds are in escrow, and will be disbursed upon Disney signing the official contract with the client, and Disney will sign! It's that simple. They don't want to sign the contract without funds being 100% in place already. So, the lender does not have to provide funds against a contract that isn't yet signed; just has to state that such funds are indeed in escrow & ready to be lent out.
