    @The Underwriter, I thought the same thing. The phone numbers and emails are gold. Since there are a few people who don't have phone numbers in that document, I wonder if they either opted out from providing their number or if there was just no way that Simad Holdings was communicating with them over the phone. @Sean Cash and @fundinggrasshopper, thanks for providing information on this thread. It's a poor situation, but it's great to get a glimpse of what's happening and to see the numbers

    A few thoughts on this deal and hopefully this will help some folks in the future: -I received the file with a list of requirements for funding. Must fund into a side bank account of their choosing, no UCC unless missed payments, no stacking clause removed - the red flags were there immediately which led to a quick "no" thankfully. -During the brief due diligence process, it seemed like a "too good to be true" deal. There was all of the real estate, highly profitable businesses, "just needed a short band-aid to get ready for the summer". These are day camps and sleepaway camps, the cash needs on these businesses couldn't be more predictable. A business this size should not be taking MCA debt given the assets they have. No story in the world should have made anyone feel comfortable about this deal. I'm not going to kick a funder while they are down, but assuming they were looking at the same opportunity I saw, they got greedy or felt some other pressure to fund a big deal. -Congrats to all the funders who get accused of being a broker but were actually funders and are in this deal. Sorry you lost your shirt, but at least you can say "see, we are a direct funder" now. jk

    This is eye-opening. I want to know from the Shabsels brothers: 1. Why were they transferring money into their own accounts? 2. Is there more to the "business" than just day camps? 3. What would be the plan to repay the debts? It's an interesting case.

    Has she considered purchasing her own leads? There seem to be a lot of vendors out there who state that they have the best leads in the market. Her mileage may vary. Has she thought about looking through Facebook ads or other social media platforms? I've heard that there are companies that advertise "premium" leads with already-completed files.

"In the weeks and months leading up to the Petition Date, the SIMAD Debtors became obligated on short-term loans (the “MCA Loans”) provided by approximately forty-two (42) merchant cash advance and short-term funders and lenders (the “MCA Lenders”). As of the Petition Date, the MCA Loans total in excess of $100 million in the aggregate. In general, the MCA Lenders were granted security interests in certain of the SIMAD Debtors’ collateral in the MCA Loans, subject to further review and investigation by the SIMAD Debtors. Also, in many cases, the MCA Loans were guaranteed by multiple entities within the SIMAD Debtors’ organizational structure.9 In many cases, the MCA Lenders were also given access to the SIMAD Debtors’ bank accounts through ACH authorizations contained in the loan agreements. Leading up to the Petition Date, the SIMAD Debtors were concerned that, if a single MCA Loan with an MCA Lender went into default and was accelerated, such MCA Lender may exercise remedies that may have left the SIMAD Debtors without access to cash and accounts receivable."     For what its worth the funders in the know were declining this deal off the bat as far back as december 2025 / january 2026 before mulligan libertas newco etc... too many bailouts, robbing peter to pay paul, those who were in the deal prior to 2026 & got out successfully probably already knew the house was collapsing Especially after the corp bond sale
